Notice under section 650F of the Corporations Act 2001 (Cth) – Offer free of defeating conditions

We act for Strike West Holdings Pty Ltd ACN 616 395 398 ( Strike West ) a wholly owned subsidiary of Strike Energy Limited ACN 078 012 745 ( Strike ) in relation to its offer to acquire all shares in Warrego Energy Limited ACN 125 394 667 ( Warrego ) that are not owned by Strike ( Offer ). We have been authorised by the Managing Director of Strike to provide this letter to ASX.

The Offer is contained in Strike West’s bidder’s statement dated 23 December 2022 ( Original Bidder’s Statement ) as supplemented and varied by Strike West’s first supplementary bidder’s statement dated 30 December 2022, second supplementary bidder’s statement dated 6 January 2023 and third supplementary bidder’s statement dated 12 January 2023.

On behalf of Strike West and for the purposes of section 650F of the Corporations Act 2001 (Cth), we attach a notice that the defeating condition set out in section 8.1 of the Offer Terms contained in the Original Bidder’s Statement has been waived. Accordingly, the Offer is now free of all defeating conditions.

This notice ( Notice ) is given under section 650F of the Corporations Act 2001 (Cth) ( Corporations Act ) by Strike West Holdings Pty Ltd ACN 616 395 398 ( Strike West ) a wholly owned subsidiary of Strike Energy Limited ACN 078 012 745 ( Strike ) in relation to its offer to acquire all issued fully-paid ordinary shares in Warrego Energy Limited ACN 125 394 667 ( Warrego ) that are not owned by Strike ( Offer ).

The Offer is contained in Strike West’s bidder’s statement dated 23 December 2022 ( Original Bidder’s Statement ) as supplemented and varied by Strike West’s first supplementary bidder’s statement dated 30 December 2022, second supplementary bidder’s statement dated 6 January 2023 and third supplementary bidder’s statement dated 12 January 2023.

Unless otherwise defined in this Notice, words defined in the Original Bidder’s Statement have the same meaning in this Notice.

Notification

Strike West gives notice that the defeating condition set out in section 8.1 of the Offer Terms has been waived. Accordingly, the Offer is now free of all defeating conditions.

At the time of lodgement of this Notice, the voting power of Strike West and its associates in Warrego is 20.57%.
