NOTICE UNDER SECTION 708A(5)(E) CORPORATIONS ACT 2001 (CTH)

On 28 March 2012, Strike Energy Limited (“Strike”) announced it had finalised arrangements for a capital raising comprising a placement in two tranches to sophisticated and professional investors to raise $20 million before costs (“Placement”).

The Placement comprised:

1. the issue of 45,780,890 new shares at an issue price of $0.17 per share to raise $7,782,751 million before costs; and

2. the issue of 71,866,169 new shares (“Tranche 2 Placement Shares”) at an issue price of $0.17 per share to raise $12,217,249 million before costs as approved by shareholders at an Extraordinary General Meeting of shareholders held on 30 April 2012.

On 3 May 2012, the Tranche 2 Placement was issued to institutional and professional investors.

In order to permit the on-sale of the Tranche 2 Placement Shares without the need for a disclosure document to be prepared under Part 6D.2 of the Corporations Act 2001 (Cth) (“Corporations Act”), Strike makes the following statements under section 708A(5)(e) of the Corporations Act:

• a) The shares were issued without disclosure to investors under Part 6D.2 of the Corporations Act.

• b) This notice is being given under paragraph 5(e) of section 708A of the Corporations Act.

• c) As at the date of this notice, Strike has complied with the provisions of Chapter 2M (to the extent that that Chapter applies to it) and section 674 of the Corporations Act.
