Sub: Intimation to Members about Annual General Meeting of the Company and Record Date for the purpose of Final Dividend

We wish to inform you that 29th Annual General Meeting (‘AGM’) of the Company will be held over video conference/ other audio-visual means on Thursday, August 20, 2020 at 15:00 hrs IST in compliance with General Circular numbers 20/2020, 14/2020, 17/2020 and all other applicable laws and circulars issued by the Ministry of Corporate Affairs (‘MCA’), Government of India and Securities and Exchange Board of India (‘SEBI’).

As informed by the Company on May 20, 2020, Board of Directors has recommended a final dividend of Rs. 2/- per share. The Record Date for the purpose of Final Dividend for FY 2019-2020 will be Monday, July 27, 2020 . Final Dividend once approved by the Members in the ensuing AGM will be paid within 30 days from the date of approval.

As prescribed under the Income Tax Act, 1961 (‘Act’), as amended by the Finance Act, 2020, dividends paid or distributed by a Company after April 1, 2020 shall be taxable in the hands of Members. The Company shall therefore be required to deduct tax at source (TDS) at the time of making the payment of final dividend.

Kindly note that Annual Report of the Company and Notice of the AGM laying down the manner of attending the AGM and casting votes by shareholders shall be shared with the Stock Exchanges and with the Members in due course within the prescribed timeline.
