COMPLETION OF THE ACQUISITION OF GAMING BATTLE GROUND PTY LTD

Emerge Gaming Limited (ACN 004 766 376) (formerly Arrowhead Resources Limited) ( Company ) is pleased to advise all conditions precedent to the acquisition of 100% of the issued capital of Gaming Battle Ground Pty Ltd (ACN 616 572 144) ( GBG ) (the Acquisition ) have been satisfied and the Company has completed the Acquisition.

In accordance with the agreement between the Company and GBG dated 12 April 2017, the Company has now issued 184,500,000 fully paid ordinary shares ( Shares ), 184,500,000 options exercisable at $0.02 expiring on a date that is three (3) years from the date the Company is reinstated to official quotation ( Options ) and 100,000,000 performance shares (being 33,333,333 class A performance shares, 33,333,333 class B performance shares and 33,333,334 class C performance shares) pro-rata to the shareholders of GBG by way of consideration for the Acquisition.

In addition, the Company has issued 11,500,000 Shares and 11,500,000 Options to CPS Capital Group Pty Ltd (ACN 088 055 636) (or their nominees) in consideration for corporate advisory services provided to the Company.

Board changes

At completion of the Acquisition, Umberto Mondello, Gregory Stevens and Jonathan Hart were appointed as directors of the Company. Michael Rosenstreich and John Kenny have resigned.

Change of company name

The Company has also now changed its name from Arrowhead Resources Limited to Emerge Gaming Limited and upon being readmitted to quotation on the ASX, its shares will trade under the ASX ticker code “EM1”.
