UPDATE ON PUBLIC OFFER AND ACQUISITION OF GBG

Arrowhead Resources Ltd (to be renamed ‘Emerge Gaming Limited’) (the Company ) is pleased to advise that there has been a high level of interest in its public offer ( Public Offer ) pursuant to its prospectus dated 9 October 2017 ( Prospectus ). To date, the Company has received significantly more demand to the Public Offer than the Company intends to raise.

On 3 November 2017, the Company received an interim stop order from the Australian Securities and Investment Commission ( ASIC ) which has been placed on the Company’s Prospectus. The Company is working with ASIC to resolve their queries as soon as possible. This may require a supplementary or replacement prospectus.

As previously announced, shareholders approved the Company’s proposed acquisition of Gaming Battle Ground Pty Ltd ( GBG ) a technology company, on 9 October 2017. Completion of the acquisition of GBG is conditional upon completion of the Public Offer and approval from ASX to reinstate the Company’s securities to trading on ASX. The Company is targeting re-quotation of its securities by 29 November 2017, with securities to trade under the new ASX ticker “ EM1 ”.

GBG is an Australian unlisted company which is engaged in eSports via the provision of an online gaming platform (the GBG Platform ). The GBG Platform allows for skill-based tournaments, series and live matchmaking, where players compete in sponsored tournaments to establish rankings, win prizes and earn participations rewards, which can later be utilised to enter raffles for more prizes, as well as purchase and trade physical merchandise and digital assets. The GBG Platform has been in operation for 2 years, has over 30,000 registered users and has operated over 10,000 gaming tournaments.
