Resignation of Non-executive Director and withdrawal of Resolution - 2022 Annual General Meeting

Emerge Gaming Limited (ASX: EM1) (“ Emerge ” or the “ Company ”) advises that Mr Gregory Stevens has opted not to seek re-election at the Company’s 2022 Annual General Meeting and has resigned as a Nonexecutive Director of the Company, effective as of today’s date, to pursue other opportunities.

The Company thanks Mr Stevens, the Company’s inaugural CEO, and acknowledges his valued contribution to the Company since its listing in 2018.

Commenting on his decision Mr Stevens said:

“I appreciate the journey and time spent with the Company and I thank our dedicated shareholders for their support. I am excited about the next phase of the business and the direction the Company is taking and am confident that shareholder value will be restored. I wish the team the best of luck.”

Contemporaneously, the Company advises the withdrawal of Resolution 2 from the Notice of Annual General Meeting which was lodged with the ASX on 28 October 2022. Resolution 2 related to the reelection of Mr Stevens as a Director of the Company.

The withdrawal of this item of business does not affect the validity of the proxy form attached to the Notice of Annual General Meeting or any proxy votes already submitted in respect of the remaining resolutions to be put to shareholders for approval at the Annual General Meeting on 29 November 2022.

An Appendix 3Z for Mr Stevens is attached.
