ITEM 2.02 Results of Operations and Financial Condition.

On October 24, 2012, Stoneridge, Inc. (the “Company”) issued a press release announcing its results for the third quarter ended September 30, 2012. A copy of the press release is attached hereto as Exhibit 99.1. On October 24, 2012, members of the Company’s management held a third-quarter 2012 earnings conference call discussing financial results, and the presentation furnished herewith as Exhibit 99.2, accompanied management’s comments.
