Stolt-Nielsen Limited Purchased 10,000 of its Common Shares

On December 9, 2010, Stolt-Nielsen Limited purchased

10,000 of its own Common Shares (SNI) on the Oslo

Stock Exchange at a price of NOK 120 per share. The

shares were purchased in accordance with the buy-back

programme announced on November 19, 2010.

In addition, employees of Stolt-Nielsen Limited

exercised options to acquire a total of 6,200 Common

Shares of Stolt-Nielsen Limited, which option

exercises were satisfied out of Common Shares held by

Stolt-Nielsen Limited.

After these transactions Stolt-Nielsen Limited holds

4,528,223 own shares, representing 7.06% of the

number of issued Common Shares.
