Gunnar Pedersen Files Early Warning Report in Connection with Acquisition of Securities of Rover Critical Minerals Corp.

Vancouver, British Columbia – July 18, 2025 – Gunnar Pedersen (the “Acquiror”), a director of Rover Critical Minerals Corp. (TSXV: ROVR), announces that he has filed an early warning report in connection with the acquisition of additional securities of Rover Critical Minerals Corp. (the “Company”).

On July 16, 2025, the Acquiror acquired 843,920 common shares and 421,960 share purchase warrants (the “Units”) of the Company at a price of $0.15 per Unit for total consideration of approximately $126,588, pursuant to a private placement.

Prior to the acquisition, the Acquiror beneficially owned or exercised control or direction over 1,375,000 common shares and 1,375,000 share purchase warrants, representing approximately 11.21% of the issued and outstanding common shares of the Company on a non-diluted basis, and approximately 20.58% on a partially diluted basis, assuming the exercise of the Acquiror’s warrants.

Following the acquisition, the Acquiror beneficially owns or controls an aggregate of 2,218,920 common shares and 1,796,960 warrants. This represents approximately 14.95% of the Company’s issued and outstanding common shares on a non-diluted basis and approximately 16.37% on a partially diluted basis, assuming the exercise of the Acquiror’s warrants.

The securities were acquired for investment purposes. The Acquiror may, from time to time and at any time, acquire additional securities of the Company or dispose of some or all of the securities of the Company depending on market conditions, general economic and industry conditions, the Company’s business and financial condition, and/or other relevant factors.
