Item 2.02. Results of Operations and Financial Condition.

On October 30, 2018, Steven Madden, Ltd. (the “Company”) issued a press release, furnished as Exhibit 99.1 and incorporated in this Item 2.02 by reference, announcing the Company’s financial results for the quarter ended September 30, 2018.

Item 8.01. Other Events.

The Company’s press release on October 30, 2018 also announced that the Company’s Board of Directors has declared a quarterly cash dividend of $.14 per share on the Company’s outstanding shares of common stock. The dividend is payable on December 31, 2018, to the stockholders of record as of the close of business on December 21, 2018. The full text of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
