This is to inform that the Authorization and Allotment Committee of the Board of Directors of the Company at its meeting held today i.e. March 30, 2026 has approved allotment of 4,53,00,000 (Four Crores Fifty Three Lakhs) Warrants, at a price of Rs. 110 (Rupees One Hundred Ten only) per Warrant, each convertible into and exchangeable for 1 (one) fully paid up equity share of the Company of face value of Rs. 2 (Rupees two only) at a premium of Rs. 108 (Rupees One Hundred Eight) per share. These Warrants may be exercised in one or more tranches during the period commencing from the date of allotment of the Warrants until expiry of 18 (Eighteen) months, as per the details set forth below:

• The Warrant holder will be required to make further payment of Rs. 82.5/- (Rupees Eighty Two and Fifty Paise Only) for each Warrant, which is equivalent to 75% (seventy five percent) of the Warrants Issue Price at the time of exercise of the right attached to Warrant(s) to subscribe to equity share(s).

Upon conversion and exercise of the Warrants into equity shares of the Company (which shall rank pari passu to the existing fully paid-up equity shares), the Twin Star Overseas Limited will hold 47.75% (Forty Seven point Seventy Five percent) equity stake in the Company, on a fully diluted basis.

The above allotment of securities has been made pursuant to the resolutions passed by the Board of Directors on February 07, 2026 and the Shareholders of the Company on March 04, 2026 in accordance with the provisions of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018 and other applicable rules/ regulations / guidelines, if any, prescribed by any other regulatory or statutory authorities and on receipt of requisite in principle approvals from the Stock Exchanges i.e., BSE Limited and National Stock Exchange of India Limited both on March 30, 2026.
