FCA announces pricing of its offering of € 1.25 billion in 3.75% Notes due March 2024

Following Fiat Chrysler Automobiles N.V.'s ("FCA") (NYSE: FCAU/MTA: FCA) announcement earlier today of its launch of a benchmark note issuance denominated in Euro, FCA confirms that the offering will be of € 1.25 billion in principal amount of 3.75% Notes due March 2024, with an issue price of 100% of the principal amount.

The closing of the offering is currently expected on 30 March 2016. The notes will be issued by FCA under its Global Medium Term Note Programme. The offering was very well received and orders were significantly higher than the amount of the offering.

The notes will only be offered and sold outside the United States to institutional investors that are non "U.S. persons" (as such term is defined in Regulation S under the U.S. Securities Act of 1933, as amended (the "Securities Act")) and have not been and will not be registered under the Securities Act or any other securities laws.
