Notice under section 708A of the Corporations Act 2001 (Cth)

This notice is given by Steadfast Group Limited (ACN 073 659 677) (ASX Code: SDF) (“ Steadfast ”) under section 708A(5)(e) of the Corporations Act 2001 (Cth) (“ Act ”).

Steadfast refers to its announcement made to the market on 16 August 2021 relating to a fully underwritten institutional placement (“ Placement ”) and a separate share purchase plan (“ SPP ”).

Steadfast has today issued 44,345,899 fully paid ordinary shares (“ Shares ”) to certain professional and sophisticated investors pursuant to the Placement.

The SPP will be offered in accordance with ASIC Corporations (Share and Interest Purchase Plans) Instrument 2019/547 (“ ASIC Instrument ”). It is a condition of that ASIC Instrument that the Company gives ASX this notice before the SPP offer is made. The SPP is expected to open (and the SPP offer is expected to be made) on Tuesday, 24 August 2021. An SPP booklet with further details on the SPP is expected to be despatched to eligible shareholders on Tuesday, 24 August 2021.

Steadfast gives notice under section 708A(5)(e) of the Act that:

• (a) Steadfast issued the Shares without disclosure to investors under Part 6D.2 of the Act;

• (b) as at the date of this notice, Steadfast has complied with:

  • (i) the provisions of Chapter 2M of the Act as they apply to Steadfast; and

  • (ii) section 674 of the Act, as it applies to Steadfast;

• (c) as at the date of this notice, there is no excluded information of the type referred to in sections 708A(7) and 708A(8) of the Act that is required to be set out in this notice under section 708A(6)(e) of the Act.
