Steadfast Group Limited announces the successful completion of the acquisition of all of the issued shares in the capital of Coverforce Holdco Pty Limited announced to the market on 16 August 2021 (Coverforce Acquisition).

Please also see attached cleansing notice under s708A of the Corporations Act in relation to the issue of shares as part consideration for the Coverforce Acquisition and in relation to which shares have been issued today.

Notice under section 708A of the Corporations Act 2001 (Cth)

This notice is given by Steadfast Group Limited (ACN 073 659 677) (ASX Code: SDF) (“ Steadfast ”) under section 708A(5)(e) of the Corporations Act 2001 (Cth) (“ Act ”).

Steadfast has today issued 48,300,644 fully paid ordinary shares (“ Consideration Shares ”) to the sellers of Coverforce Holdco Pty Ltd (ACN 646 558 223) as announced by Steadfast on 16 August 2021.

Steadfast gives notice under section 708A(5)(e) of the Act that:

• (a) the Consideration Shares were issued without disclosure to investors under Part 6D.2 of the Act;

• (b) as at the date of this notice, Steadfast has complied with:

  • (i) the provisions of Chapter 2M of the Act as they apply to Steadfast; and

  • (ii) section 674 of the Act, as it applies to Steadfast;

• (c) as at the date of this notice, there is no excluded information of the type referred to in sections 708A(7) and 708A(8) of the Act that is required to be set out in this notice under section 708A(6)(e) of the Act.
