This supplementary prospectus ( Supplementary Prospectus ) is dated 13 September 2017 and is intended to supplement and amend the information contained in the prospectus of State Gas Limited ACN 617 322 488 ( State Gas ) dated 4 September 2017 ( Prospectus ). Unless otherwise indicated, terms defined and used in the Prospectus have the same meaning in this Supplementary Prospectus.

This Supplementary Prospectus was lodged with ASIC and given to ASX on 13 September 2017. Neither ASIC, nor ASX, takes any responsibility for the contents of this Supplementary Prospectus.

This Supplementary Prospectus must be read together with the Prospectus. To the extent of any inconsistency between this Supplementary Prospectus and the Prospectus, this Supplementary Prospectus will prevail. State Gas has issued both a printed and electronic version of the Prospectus and this Supplementary Prospectus. Electronic versions of both are available at http://www.state-gas.com/. The Prospectus and this Supplementary Prospectus are important and should both be read in their entirety. This Supplementary Prospectus contains particular changes to the Prospectus. Other than the changes set out below, all other information in the Prospectus remains unchanged.

1 Change to the eligible participants for the priority Offer

The priority offer to Triangle Energy shareholders is described in section 9.1 of the Prospectus.

That section made reference to certain qualification requirements to participate in the priority offer, namely that the priority offer was only available to those Triangle Energy shareholders with a holding of 20,000 shares or more at the date of the prospectus. To ensure fairness, the Board has determined that all Triangle Energy shareholders on the register on 4 September 2017 (the date of the Prospectus) are entitled to participate in the priority Offer. Eligible Triangle Energy shareholders will receive a letter setting out further information about the priority offer.

2 Authorisation

This Supplementary Prospectus is issued by State Gas. In accordance with section 720 of the Corporations Act 2001 (Cth), each Director has consented to the lodgement of this Supplementary Prospectus with ASIC and has not withdrawn that consent prior to lodgement.
