Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Star Gas Partners, L.P., a Delaware limited partnership (the “Partnership”) announced that Mr. Joseph Massoud has resigned as a director of the general partner of the Partnership, effective as of October 1, 2004.
