Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Thierry Paternot, President - Stanley, Europe, retired from the Company effective March 13, 2008. The Company anticipated Mr. Paternot's retirement, and has been working since mid 2007 to ensure a smooth and orderly transition. The Company hired Massimo Grassi as its President, Facom Tools - Europe in July 2007, reporting to Mr. Paternot. Going forward, Mr. Grassi will report to Donald R. McIlnay, the Company's Senior Vice President and President, Industrial Tools Group and Emerging Markets on matters relating to Facom and the Company's other industrial tools businesses in Europe and to John F. Lundgren with respect to the Company's European operations generally.
