RIGHTS ISSUE
Standard Chartered PLC ("Standard Chartered" or the "Company") announced on 24 November 2008 (the "Announcement") a 30 for 91 rights issue (the "Rights Issue") of new ordinary shares (the "New Ordinary Shares") to raise approximately £1,779 million (net of expenses) at an issue price of 390 pence per New Ordinary Share for shareholders on the United Kingdom register of members and HK$45.11 per New Ordinary Share for shareholders on the Hong Kong register of members (the "Issue Price").
In relation to the Rights Issue, the Company is pleased to announce the following additional information:
Publication of prospectus
The following prospectus has been submitted to the UK Listing Authority and will shortly be available for inspection at their Document Viewing Facility at the Financial Services Authority, 25 North Colonnade, Canary Wharf, London, E14 5HS:

The Prospectus is being published today and a copy of the Prospectus and Provisional Allotment Letters will be sent on 1 December 2008 to all Shareholders on the Hong Kong register of members at 4.30 p.m. on 28 November 2008.
Number of New Ordinary Shares available under the Rights Issue
The exercise of a small number of share options/awards in the Company was processed on 21 November 2008, and the related ordinary shares of US$0.50 each in the capital of the Company were then allotted before the UK Record Date of 5.00 p.m. (UK time) on 24 November 2008. Accordingly, the Rights Issue is in respect of 470,014,830 New Ordinary Shares and not 470,006,961 New Ordinary Shares as originally announced.
Latest time and date in Hong Kong for acceptance
In the "Summary expected timetable in Hong Kong" that was included in the Announcement, the "Latest time and date in Hong Kong for acceptance and payment in full and registration of renounced Provisional Allotment Letters" was originally scheduled for 11.00 a.m. on 17 December 2008. This has now been fixed for 4.00 p.m. on 17 December 2008.
New Ordinary Shares not taken up
The Company has made arrangements if an entitlement to New Ordinary Shares is not validly taken up under the Rights Issue for the Joint Bookrunners to use reasonable endeavours to procure acquirers for those shares, provided that a premium over the total of the Issue Price and the expenses of procuring such acquirers can be obtained. Any such premium will be paid to those persons entitled pro rata to the relevant lapsed provisional allotments. If the Joint Bookrunners are not able to procure acquirers for the shares, the shares will be taken up by the Underwriters. Further details in respect of this matter, and the other matters outlined above, are included in the Prospectus.
