Grant of Share Award

This announcement is made pursuant to Rule 17.06A of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.

Standard Chartered PLC (the "Company") announces that on 22 September 2015, conditional rights over the Company's shares to acquire 899,031 ordinary shares of USD0.50 each in the capital of the Company (the "Conditional Rights") were granted to Bill Winters, Executive Director and Group Chief Executive of the Company under the Company's 2011 Standard Chartered Share Plan at nil acquisition price.

The closing market price of the Shares on the London Stock Exchange on 22 September 2015 was £6.73. Under the 2011 Standard Chartered Share Plan, the Conditional Rights vest in equal tranches on the second, third and fourth anniversary of the grant of the original award to which they relate.
