NOTICE OF CHANGE OF AUDITOR

• MARCUM LLP ONTARIO SECURITIES COMMISSION

• ALBERTA SECURITIES COMMISSION

BRITISH COLUMBIA SECURITIES COMMISSION

Pursuant to National Instrument 51-102 - Continuous Disclosure Obligations (“ NI 51-102 ”), StageZero Life Sciences Ltd. (the " Company ") advises that:

• (a) Effective May 15, 2019, the Company notified Marcum LLP (the " Former Auditors ") that it has not been reappointed as the auditors of the Company;

• (b) At the Company’s annual and special meeting of shareholders dated June 19, 2019, the Company’s shareholders voted to approve the appointment of BDO Canada LLP (the " Successor Auditors ") as auditors in place of the Former Auditors. The Successor Auditors accepted appointment as auditors on November 19, 2019;

• (c) The change in the appointment from the Former Auditors to the Successor Auditors was considered and approved by the Company's audit committee and Board of Directors and constitutes a “termination” of the Former Auditors and an “appointment” of the Successor Auditors for the purposes of NI 51-102;

• (d) The Former Auditors provided the outgoing letter of the Former Auditors to the Company on June 9, 2020;

• (e) There have been no reservations in the Former Auditors' reports in connection with the audits of the two most recently completed fiscal years and there are no reportable events, including disagreements, consultations or unresolved issues, as such terms are defined in NI 51-102; and

• (f) the content of the notice of change of auditor has been reviewed and approved by the Board of Directors of the Company.
