Bad Vilbel, January 1, 2012 - Today, on January 1, 2012, STADA Arzneimittel
AG exercised its contractual right to withdraw from the purchase of a
branded product portfolio from Grünenthal for EU markets in Central Europe
(including Poland, etc.), after the responsible anti-trust authorities had
not approved the agreed transaction prior to the expiry of the
contractually agreed so-called 'long stop date' (as of December 31, 2011)
(see ad hoc release of May 12, 2011 on the exclusive contract negotiations,
published via DGAP, and ad hoc update of July 22, 2011 on the signing of
the contracts, published via DGAP, as well as ad hoc update of December 30,
2011 on the conclusion of the purchase in Eastern Europe and the Middle
East, published via DGAP). The purchase price for the branded product
portfolio including the sales structures for Eastern Europe and the Middle
East is thus reduced from approx. EUR 360 million to approx. EUR 152
million.
