STADA: takeover offer for Hemofarm successful – acquisition of 97.9% of the shares

The issuer is solely responsible for the content of this announcement. —————————————————————————— STADA Arzneimittel AG’s public takeover offer for Hemofarm a.d., Vrsac, Serbia of July 14, 2006 (see ad hoc release as of July 14, 2006, published via DGAP) is successful. Under the conditions of this public takeover offer, STADA has been offered the purchase of 97.9% of Hemofarm’s shares in total (corresponds to approx. 3.2 million shares) by Hemofarm’s shareholders, up to the end of the time limit of the offer today, on August 9, 2006. The condition has thereby been fulfilled that STADA be offered at least 67% of all Hemofarm shares; the offer is thus valid. All Hemofarm shares offered within the framework of this takeover offer will be transferred to STADA within the next three working days against payment of the purchase price in the amount of CSD 12,345 (currently approx. EUR 148.73) for each Hemofarm share. STADA thereby pays a total of approx. EUR 480.4 million for the acquisition of 97.9% of all Hemofarm shares. This corresponds to a total value of all Hemofarm shares of approx. EUR 490.8 million.
