STADA strengthens Branded Products business with product acquisitions in Italy

The issuer is solely responsible for the content of this announcement. ——————————————————————————– STADA strengthens Branded Products business with product acquisitions in Italy STADA Arzneimittel AG is strengthening the Groups Branded Products business with product acquisitions in Italy. Crinos S.p.A., one of STADAs Italian subsidiaries, has today signed a provisional agreement on the acquisition of a range of Italian brand-name products. It is to acquire these products partly by taking over a company – Boniscontro & Gazzone S.r.l., Rome – and partly by purchasing products directly as part of a comprehensive transaction. Under the current timetable, the final deal is due to be completed by the end of November 2004. The branded products acquired, which are positioned in various indication areas, generated total sales of EUR 13.8 million in the Italian market over a 12-month period from July 2003 to June 2004. The total net purchase price for these products comes to EUR 13.0 million (after deducting the acquired companys cash). The sellers are the private owners of Boniscontro & Gazzone S.r.l., Rome, as well as Pulitzer S.p.A., Rome. The transaction comprises the trademarks, approvals and inventories of 68 brand-name products as well as a few ongoing approval projects and some trademarks not marketed at present. The products and projects acquired represent a good fit for STADAs Group strategy: they all contain well-known, off-patent active ingredients and can be produced by contract manufacturers. STADAs aim in acquiring these products is to strengthen its local Italian sales companies Crinos S.p.A., which focuses on the Italian Branded Products business, and NPA New Pharmajani S.p.A., which specializes in pharmacy-based sales. In the future, NPA will cooperate in the sales of the acquired branded products to pharmacies. With respect to Crinos, the range of acquired products, which includes both prescription drugs and medicines for self- medication as well as other healthcare products such as food supplements, will round off the existing product portfolio in various indication areas. In the future, Crinos will also support the sales activities of the branded products acquired; in addition, it is intended that the local sales representatives who have marketed the acquired products to date will continue to sell these products and will also sell Crinos products to their clients.
