On April 3, 2012, William Whitehead resigned for personal reasons, effective immediately, as a director of WPCS International Incorporated (the “Company”). In submitting his resignation, Mr. Whitehead did not express any disagreement with the Company on any matter relating to the registrant’s operations, policies or practices.
