St James’s Place plc – Additional Listing

Applications have been made to the Financial Conduct Authority and the London Stock Exchange for a total of 108,819 ordinary shares of 15 pence each credited as fully paid (the “Shares”) in St James’s Place plc (the “Company”), to trade on the London Stock Exchange and to be admitted to the Official List.

The Shares will be issued to a member of the management team of Rowan Dartington Holdings Limited in satisfaction of certain consideration due under the terms of the acquisition of that business by the Company in March 2016.

It is expected that admission will be effective on 11 March 2016. When issued, the Shares will rank pari passu in all respects with the Company’s existing ordinary shares.
