Notice under section 708AA(2)(f) of the Corporations Act 2001

This notice is given by St Barbara Limited ACN 009 165 066 (St Barbara) under section 708AA(2)(f) of the Corporations Act 2001 (Cth) (Act) as notionally modified by Australian Securities and Investments Commission Class Order 08/35 (CO 08/35).

St Barbara announced on 11 November 2009 an Accelerated Non-Renounceable Pro Rata Entitlement Offer (Entitlement Offer) of 4 fully paid St Barbara ordinary shares (New Shares) for each existing 13 fully paid St Barbara ordinary shares held as at 7.00pm (AEST) on Monday, 16 November 2009 by shareholders with a registered address in Australia, New Zealand or any other jurisdiction in which St Barbara has decided to make offers.

St Barbara advises that:

• the New Shares will be offered for issue without disclosure under Part 6D.2 of the Act as modified by CO 08/35;
• this notice is being given under section 708AA(2)(f) of the Act as notionally modified by CO $08/35$ :

as at the date of this notice, St Barbara has complied with:

the provisions of Chapter 2M of the Act as they apply to St Barbara; and

section 674 of the Act;

as at the date of this notice, there is no information that is 'excluded information' within the meaning of sections 708AA(8) and 708AA(9) of the Act; and

the issue of New Shares under the entitlement offer is not expected to have any material effect or consequence on the control of St Barbara.
