Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective as of September 23, 2022, Charles B. Carroll, Jr., Executive Vice President and Chief Administrative Officer of S&T Bancorp, Inc. and S&T Bank (collectively, “S&T”) is no longer employed by S&T . In connection with his departure, and pursuant to the Confidentiality, Trade Secrets, Non-Solicitation and Severance Agreement, dated October 21, 2020, between Mr. Carroll and S&T (“Severance Agreement”), he is eligible to receive salary continuation payments and paid COBRA coverage through September 23, 2023, subject to his execution of a general release of claims against S&T within twenty-one days of September 23, 2022.
