Item 5.02 - Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 10, 2010, the Compensation and Benefits Committee of S&T Bancorp, Inc. approved annual base salary increases for 2010 for two executive officers. Due to changes in senior management responsibilities, the Committee increased the annual base salary for Edward C. Hauck, Senior Executive Vice President and Chief Operating Officer, from $300,000 to $315,000, and for David G. Antolik, Senior Executive Vice President and Chief Lending Officer from $265,000 to $280,000, effective as of such date.
