Ergänzend weisen wir darauf hin, dass die S&T AG mit Stichtag 30.11.2016 weitere 706.833 Stück junge Aktien aus bedingtem Kapital ausgegeben hat, welche zum Zeitpunkt dieser Stimmrechtsmeldung noch nicht im Firmenbuch eingetragen sind. Ein entsprechendes Gesuch auf Eintragung ist beim Firmenbuchgericht anhängig. Für die Berechnung der Stimmrechtsschwellen gemäß §§ 91 ff BörseG wurden diese noch nicht eingetragenen jungen Aktien der im Firmenbuch ausgewiesenen Aktiengesamtzahl zugeschlagen, sodass die Gesamtzahl der Stimmrechte des Emittenten insgesamt 48.926.657 beträgt.

Der Vollständigkeit halber verweisen wir weiters auf die vorsorgliche Meldung von Herrn DI Niederhauser gemäß § 91a Abs 1 Z 3 BörseG vom 17. Oktober 2016. Auf Grund der nunmehr erfolgten Kapitalerhöhung der S&T AG haben die Herrn DI Niederhauser zurechenbaren Stimmrechte die Schwelle von 5% unterschritten. Die Beteiligung von Herrn DI Niederhauser wird sich voraussichtlich wie folgt entwickeln: Im Zeitpunkt des Wirksamwerdens des am 13. Oktober 2016 unter anderem durch Herrn DI Hannes Niederhauser als Verkäufer abgeschlossenen, aufschiebend bedingten Kauf- und Anteilsabtretungsvertrages über den Verkauf von insgesamt 9.800.000 Stück Aktien an der S&T AG, wovon 995.927 Stück auf Herrn DI Niederhauser als Verkäufer entfallen, werden die Herrn DI Niederhauser zuzurechnenden Stimmrechte an der S&T AG gemäß § 91a Abs 1 Z 3 BörseG an diesem Tag 2,70% (Anzahl der Aktien: 1.302.538 Stück) betragen, wodurch die Herrn DI Niederhauser zuzurechnende Beteiligung an der S&T AG die Schwelle von 4 % unterschreiten wird.
