Notification of transactions of Directors and PDMRs

On 16 July 2014, awards taking the form of a nil cost option ("Awards") to acquire ordinary shares of 1 penceeach ("Shares") in SSP Group plc (the "Company") were granted to certain persons discharging managerial responsibilities ("PDMRs") under the SSP Group plc Performance Share Plan ("PSP"), as set out in column 3 in the table below.

The number of Shares subject to the Awards has been determined by reference to the price at which Shares were sold to investors on the admission of the Shares to the premium listing segment of the Official List of the Financial Conduct Authority and to trading on the London Stock Exchange's main market for listed securities ("Admission"), being 210 pence per Share.

The vesting of the Awards is subject to the satisfaction of performance conditions set by the Remuneration Committee of the Company. The Awards will normally vest and become exercisable on the assessment of the performance conditions, expected to be in early 2018, subject to continued employment.

No consideration was paid for the grant of any of the above Awards.
