Notification of transactions of Persons Discharging Managerial Responsibilities

This notification is made in accordance with the requirements of Article 19(3) of the Market Abuse Regulation (EU) No 596/2014.

On 30 November 2016, awards taking the form of nil cost options or conditional share awards ("Awards") to acquire ordinary shares of 1 pence each ("Shares") in the Company were granted to certain persons discharging managerial responsibilities ("PDMRs") under the SSP Group plc Performance Share Plan ("PSP"), as set out in the table below. The acquisition and grant of awards over Shares took place on the London Stock Exchange.

The number of Shares subject to the Awards has been determined by reference to the closing price of the Company's Shares on the day before the Awards were granted, being 371 pence per Share.

The vesting of the Awards is subject to the satisfaction of performance conditions measured over the three-year period from 1 October 2016 to 30 September 2019.  75% of the total Awards is based on earnings per share (EPS) growth and 25% of the total Awards is based on relative Total Shareholder Return (TSR).

No consideration was paid for the grant of any of the Awards.
