However, none of the trustees, acting alone, can vote or exercise dispositive authority over Shares held by the Trust. Accordingly, Badlands, Ms. Ciciora and Mr. Dunlap disclaim beneficial ownership of the Shares beneficially owned, directly or indirectly, by the Trust.
