Total shares subject to Voluntary Escrow 22,664,033

Terms of Escrow

Shares will be escrowed until after the release of the Company’s financial statements for the year ended 30 June 2008. Such voluntary escrow will enable GCS to place a holding lock on the Shares of the Existing Shareholders to prevent their transfer.

Additionally, the Shareholder’s restricted securities may be transferred or cancelled in accordance with a takeover bid or merger by way of scheme of arrangement under the Corporations Act.
