CORRECTION TO CONVERTIBLE NOTE BALANCE

Sprintex Limited (ASX: SIX) ( Sprintex or the Company ) wishes to advise the market regarding an administrative error concerning the recording of issues and conversions of convertible notes on issue in the Company. It has come to the Company’s attention that certain filings lodged with the ASX regarding the number of convertible notes both issued and converted have been incorrectly recorded.

The Company provides the following information in respect to the error:

1. The Company’s filings on ASX currently show that the Company has 4,297 convertible notes issued on 23 June 2023 on issue ( Existing Notes ). The Existing Notes have a maturity date of 31 January 2024. Accordingly, the Company confirms that all of the Existing Notes that have not been converted have matured and are repayable in cash.

2. The Company failed to lodge an Appendix 3G (Notification regarding unquoted securities) ( Appendix 3G ) for the issue of convertible notes with an aggregate face value of A$1,091,000, following Shareholder approval on 3 June 2024. The convertible notes were issued subject to convertible facility deeds entered into with various investors (including Directors) as announced on 3 November 2023 ( 2023 Notes ). Further information regarding the 2023 Notes is set out in the Company’s notice of general meeting dated 3 May 2024 ( Notice of Meeting ).

Since the issue of the 2023 Notes on or about 4 June 2024, an aggregate of 962,250 notes have been converted into 38,490,000 Shares and 19,245,000 attaching Options.

Accordingly, the number of 2023 Notes currently on issue is 128,750 notes.

1. The Company failed to lodge an Appendix 3G for the issue of convertible notes with an aggregate face value of A$3,630,000, following Shareholder approval on 3 June 2024. The convertible notes were issued subject to convertible facility deeds entered into with various investors as announced on 10 April 2024 ( 2024 Notes ). Further information regarding the 2024 Notes is set out in the Notice of Meeting.

Since the issue of the 2024 Notes on or about 4 June 2024, no notes have been converted into Shares.

Accordingly, the number of 2024 Notes currently on issue is 3,630,000 notes.

To rectify this matter, the Company has lodged three Appendix 3Gs for the balance of 2023 Notes and 2024 Notes on issue and an Appendix 3H (Notification of cessation of securities) in respect of the matured Existing Notes, with this announcement.
