SPIE appoints Sir Peter Mason as Senior Independent Director
Cergy, December 8, 2015 - Following recommendation of the Appointments Committee, the Board of Directors is pleased to announce that Sir Peter Mason has been appointed to the newly established role of Senior Independent Director.
Today's Board decision reflects SPIE's wishes to comply with best corporate governance practices, in particular in the light of the fact that Mr. Gauthier Louette is exercising the functions of both Chairman and CEO.
The Senior Independent Director will contribute to the reinforcement of SPIE's corporate governance and the improvement of the functioning of its corporate bodies. In particular, his main duties, as set forth in the Internal Rules of the Board of Directors, are:
- assisting the Chairman and CEO in the organization and smooth functioning of the Board and its Committees, including, as and when necessary and appropriate, by calling Board meetings, discussing the agenda thereof with the Chairman and CEO, and chairing those meetings in the absence of the latter;
- being the preferred contact for shareholders, in particular those not represented on the Board, regarding governance issues;
- organizing annual meetings of Independent Directors and of Non-Executive Directors, in particular in connection with the evaluation of the work of the Board of Directors and of the performance of the General Management;
- dealing with any cases of conflicts of interests that may arise among members of the Board of Directors or the General Management in coordination with the Appointments Committee.
Sir Peter Mason, 69, graduated in Engineering from the University of Glasgow. He served as Chairman & Chief Executive Officer of Balfour Beatty Limited, then as CEO of AMEC, before being named Chairman of Thames Water Utilities Limited in December 2006. Until October 2008, he was a member

of the Board of the Olympic Delivery Authority for the 2012 Olympic Games. He was named Knight Commander of the Order of the British Empire for services rendered to international trade in 2002.
