Sphere 3D Corp., an Ontario corporation (the “Company”), and FBC Holdings S.a r.l., a company organized under the laws of Luxembourg (“Lender”), have entered into a Term Loan Agreement, dated as of September 16, 2016 (the “Loan Agreement”). Pursuant to the terms of the Loan Agreement, the Lender will provide the Company a $2.5 Million term loan facility, which will mature on January 31, 2018. The obligations of the Company and certain of its subsidiaries (collectively, the “Loan Parties”) under the Loan Agreement and related documents will be secured by substantially all assets of the Loan Parties.
