COMPANY ANNOUNCEMENT

Changes to management and operational structure

17th August 2005: The recent completion of the acquisition and subsequent operational integration of Medic Vision Limited as a wholly owned subsidiary of Premier Bionics has resulted in changes to Premier Bionics' management and operational structure.

As the continuing CEO of Medic Vision, Mr. Ross Horley has full managerial responsibility for Medic Vision. As Chief Technical Officer of Pulmosonix Pty Ltd, Dr. John Petrou has operational and managerial responsibility for the ongoing development and day-to-day commercialisation activities at Pulmosonix. This responsibility includes oversight of the two on-going clinical trials. Both Mr. Horley and Dr. Petrou report directly to the Board of Premier Bionics. Executive Chairman, Mr Peter Marks will continue to drive the strategic direction of the Company and oversee commercialisation activities and new initiatives.

In line with these developments, Dr. Martin Soust has moved from an operational role to a Non-Executive Director position. In this role, Dr. Soust will maintain a specific focus on achieving commercial outcomes for the various products under development at Pulmosonix.

Background on Premier Bionics

Premier Bionics was formed in December 2001 to invest in advanced, Australian-based research in medical devices and diagnostics. The company listed on the Australian Stock Exchange (ASX: PBI) in May 2002.

Premier Bionics' first investment was PulmoSonix Pty Ltd, a company formed to develop technology developed at Monash University's Ritchie Centre for Baby Health Research. Premier Bionics was also granted a 7-year exclusive right of first review, evaluation and commercialisation of technology produced by researchers at the Ritchie Centre in the field of respiratory disorders, sleep apnea and other sleep disorders, and chronic lung disease. Premier Bionics' second investment was made in April 2005 with the acquisition of Medic Vision Limited. Medic Vision is a technology based company specialising in the application of technology for surgical and medical skills training. Medic Vision provides consulting services in the development of skills training centres as well as developing and deploying computer-based surgical and medical high fidelity simulators
