Sub: Seeking extension of time for holding Board Meeting and to submit Financial Results for the year ended March 31, 2020 due to the COVID -19 virus pandemic

We would like to inform you that pursuant to Regulation 33 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and SEBI Circular SEBI/HO/CFD/CMD1/CIR/P/2020/38 dated March 19, 2020, our company is required to conduct Board Meeting for approving Financial Results for the year ended March 31, 2020 and submit the said financial results to stock exchange on or before June 30, 2020. Accordingly, we at SPEL Semiconductor Limited, have planned to convene Board meeting on June 27, 2020 for approving Financial Results for the year ended March 31, 2020. We are in the process of finalisation of accounts.

In view of the complete lockdown imposed by the Tamil Nadu Government in Chennai with effect from 19.06.2020, 00.00 hrs, we have to mandatorily close our office situated at Marai Malai Nagar, Chennai. Further, the Tamil Nadu Government restricts the movement of the people within 2 kms from their residences in Chennai. Our office employees are residing beyond 2 kms from the office and hence will not be permitted to attend office for any work including finalisation of accounts.

In these unexpected, unusual and extraordinary circumstances, we may not be in a position to complete the accounts in time and submit the same for audit and for approval of Board of Directors. Hence, we request you to kindly grant us extension till August 31, 2020 for conducting Board meeting for approval of financial results for the year ended March 31, 2020 and submit the same to BSE Limited in which shares of the Company are listed.
