Pursuant to Regulation 30 read with Schedule III of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform the following changes in the Board of Directors of the Company pursuant to circular resolution u/s 175 of the Companies Act, 2013, passed by the Board of Directors on July 31, 2023:

1. Cessation of Mr. Dorairaj Balakrishnan (DIN: 02131242) as Non-Executive / Non-Independent Director pursuant to vacation of office u/s 167 of the Companies Act, 2013.

The details required under Regulation 30 of SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No CIR/CFD/CMD/4/2015 dated 09/09/2015 are given in Annexure-A.

1. Appointment of Mr. Nakkeeran Ekambaram (DIN: 08638679) as an Additional Director (NonExecutive) on the Board of the Company.

In compliance with BSE Circular LIST/COMP/14/2018-19 dated June 20, 2018, we wish to confirm that Mr. Nakkeeran Ekambaram (DIN: 08638679) has not been debarred from holding the office of Director by virtue of any SEBI Order or any other Authority.

The details required under Regulation 30 of SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015 read with SEBI Circular No CIR/CFD/CMD/4/2015 dated 09/09/2015 are given in Annexure-B.
