Minutes from the election meeting for equity certificate holders

February 16th 2021 The meeting was held electronically via Teams

11 equity certificate holders, proxies included, attended the meeting, representing a total of 8.500.000 equity certificates, corresponding to 54,26%. Sparebankstiftelsen Sparebanken Sør holds 7,988,679 of the equity certificates represented on the meeting.

CEO Geir Bergskaug and Group Support Director Rolf H. Søraker represented the bank's management.

Rolf H. Søraker welcomed the participants and gave the floor to Alf Albert who opened the meeting. Albert was elected chair of the meeting, and Ole Moe dy was elected to co-sign the minutes.

Election

1 member and 1 deputy member must be elected to the board of trustees for the period of 2021 – 2025. No further suggestions of candidates were given at the meeting.

The nomination committee's recommendation:

• Member Eldbjørg Dahl
• Deputy member Harald Rune Øyhovden

All members present agreed by oral vote.

Decision:

Eldbjørg Dahl was unanimously elected as a member to the board of trustees for 4 years. Harald Rune Øyhovden was unanimously elected as a deputy member to the board of trustees for 4 years.
