ELECTION FOR HOLDERS OF EQUITY CAPITAL CERTIFICATES IN SPAREBANK 1 SR-BANK

Notice of election meeting for holders of equity capital certificates Tuesday, 15 February 2011 at 6.00 p.m. at SpareBank 1 SR-Banks main office in Bjergsted Terrasse 1, Stavanger.

For holders of equity capital certificates four representatives and two deputy representatives are to be elected.

Owners of equity capital certificate who wish to attend and vote, must complete and return the attendance form. The form must be registered as received by the bank by Monday 14 February 2011 at 3 p.m.

Each equity capital certificate carries one vote.

Compensation/travel expenses are not paid for participation at the election meeting.

A briefing will be given on:
- The group's result in 2010
- A general briefing on the group

Please find attached the nomination committee's proposal and the attendance form and form of proxy.

Snacks will be served before the meeting commences. Registration is from 5.30 p.m.

- Olav Stangeland, Tjelta (re-election)
- Berit Rustad, SpareBank 1 SMN, Trondheim (re-election)
- Leif Inge Slethei, Røyneberg (re-election)
- Hanne Eik, Stavanger (new)

The nomination committee's proposal of 2 deputy members of the Supervisory Board:

The elections are for a period of 4 years.

The composition of the Supervisory Board is as follows:
- 16 members and 8 deputy members that are elected by the equity capital certificate holders
- 10 members and 5 deputy members that are elected by the customers
- 4 members and 4 deputy members that are elected by the county councils of Rogaland, Hordaland and Aust and Vest-Agder
- 10 members and 5 deputy members that are elected by and amongst the employees
