Completion of the merger between SpareBank 1 Sørøst-Norge and SpareBank 1 Modum

Reference is made to the previous stock exchange notices dated 15 September 2021, 10 November 2021, 16 December 2021, 5 January 2022 and 3 March 2022.

Today, the merger between SpareBank 1 Sørøst-Norge and SpareBank 1 Modum has been registered in the Norwegian Register of Business Enterprises and is thus completed. SpareBank 1 Sørøst-Norge is the assignee bank.

Concurrently, the bank has also registered an equity certificate capital increase totalling NOK 321 129 660 by issuance of 21 408 644 equity certificates, each with a nominal value of NOK 15 and at a subscription price equalling NOK 53,54 per equity certificate. 18 444 646 equity certificates have been issued to Sparebankstiftelsen SpareBank 1 Modum and 2 963 998 equity certificates have been issued to Varig Forsikring Midt-Buskerud, as consideration for the business which has been transferred from SpareBank 1 Modum.

Post-issuance of the new equity certificates, the total equity certificate capital in the bank equals NOK 2 101 478 415 divided on 140 098 561 equity certificates, each with a nominal value of NOK 15.
