Span d.d. hereby informs that on the basis of the Merger Agreements concluded on May 14th, 2024, between the company Span d.d., for information systems, with its headquarters in Zagreb, Koturaška cesta 47, registered at the court register of the Commercial Court in Zagreb under the number (MBS): 080192242, PIN: 19680551758 and companies:

• EKOBIT d.o.o. for the development of software packages, trade and representation, with headquarters in Zagreb, Radnička cesta 80, registered with the court register of the Commercial Court in Zagreb under the number (MBS): 080144042, PIN: 69609657776 and
• BONSAI d.o.o. for the design and implementation of intelligent information systems, with headquarters in Zagreb, Koturaška cesta 47, registered with the court register of the Commercial Court in Zagreb under the number (MBS): 081100130, PIN: 81255473305

and the decisions of the assemblies of the merged companies approving the merger, on July 1st, 2024 registration of merger in the court register of the Commercial Court in Zagreb, decisions number: Tt-24/25570-2 and Tt-24/25567-2 was executed and decisions were published in the court register as of today.

By the entry of the merger in the court register, the merged companies cease to exist. The acquiring company, Span d.d. became the general legal successor of the merged companies and thereby entered into all legal relations of the merged companies.
