Issue and lapse of Employee Incentive Rights

Spacetalk Ltd. (ASX:SPA) (“Spacetalk” or “Company”), developer of innovative technologies that keep families safe and connected, advises that 120,000 rights have been issued to employees as an incentive and to assist in retaining their services.

The incentive rights may be exercised and converted into fully paid ordinary shares in the capital of the Company on a 1 for 1 basis, subject to a vesting date of 17 February 2023 and satisfaction of vesting conditions. Employees are not required to pay any consideration with respect to the grant or exercise of the incentive rights. If the employee ceases employment prior to vesting of the rights, the rights will be forfeited.

In addition, 300,000 incentive rights have lapsed in accordance with the terms of those securities.

Following these changes, the issued capital of the Company comprises 165,381,445 fully paid ordinary shares, 6,970,000 incentive rights, 13,700,000 options and a warrant to issue 11,000,000 shares at an exercise price of $0.30 per share.

A notification confirming the issue of the incentive rights (Appendix 3G) has been lodged with ASX.
