Vesting and issue of Employee Incentive Rights

Spacetalk Ltd. (ASX:SPA) (“Spacetalk” or “Company”), developer of innovative technologies that keep families safe and connected, advises that 342,500 employee incentive rights have vested, and 30,000 rights have been issued to employees as an incentive and to assist in retaining their services.

The incentive rights may be exercised and converted into fully paid ordinary shares in the capital of the Company on a 1 for 1 basis, subject to the satisfaction of vesting conditions by the applicable vesting date. Employees are not required to pay any consideration with respect to the grant or exercise of the incentive rights. If the employee ceases employment prior to vesting of the rights, the rights will be forfeited.

Following these changes, the issued capital of the Company comprises 165,723,945 fully paid ordinary shares, 8,457,500 incentive rights, 13,700,000 options and a warrant to issue 11,000,000 shares at an exercise price of $0.30 per share.

Notifications applying for quotation of the ordinary fully paid shares issued on the vesting of the incentive rights (Appendix 2A) and confirming the issue of the incentive rights (Appendix 3G) have been lodged with ASX.
