Vesting, issue and lapse of Incentive Rights

Spacetalk Ltd. (ASX:SPA) (“Spacetalk” or “Company”), developer of innovative technologies that keep families safe and connected, advises that 65,000 incentive rights have vested, and 600,000 rights have been issued to eligible participants as an incentive and to assist in retaining their services.

The incentive rights may be exercised and converted into fully paid ordinary shares in the capital of the Company on a 1 for 1 basis, subject to the satisfaction of vesting conditions by the applicable vesting date. Eligible participants are not required to pay any consideration with respect to the grant or exercise of the incentive rights. If the eligible participant ceases to be employed or engaged prior to vesting of the rights, the rights will be forfeited.

In addition, 230,000 incentive rights have lapsed in accordance with the terms of those securities.

Following these changes, the issued capital of the Company comprises 215,773,249 fully paid ordinary shares, 8,027,500 incentive rights, 13,700,000 options and a warrant to issue 11,000,000 shares at an exercise price of $0.2169 per share.

Notifications applying for quotation of the ordinary fully paid shares issued on the vesting of the incentive rights (Appendix 2A) and confirming the issue of incentive rights (Appendix 3G) have been lodged with ASX.
