Employee Retention Rights and Share Issue

Spacetalk Ltd. (ASX:SPA) (“Spacetalk” or “Company”), developer of innovative technologies which keep families safe and connected, advises that 679,500 retention rights have been issued to employees as an incentive and to assist in retaining their services. The retention rights are subject to a range of vesting dates in 2021, 2022 and 2023. Upon vesting, the employee will be issued 1 fully paid ordinary share in Spacetalk for each right for no consideration. If the employee ceases employment prior to vesting of the rights, the rights will be forfeited.

The retention rights have been issued under the employee rights plan referred to in the Company’s 2020 Annual Report (“Old Plan”). This is the final issue of retention rights under the Old Plan. Any further issue of rights to Spacetalk employees will be made in accordance with the Spacetalk Ltd. Long Term Incentive Plan, details of which were disclosed in the Notice of 2020 Annual General Meeting, announced to ASX on 9 October 2020.

In addition, 105,000 retention rights have lapsed and are forfeited in accordance with the terms of those securities.

Spacetalk also advises that 89,969 fully paid ordinary shares have been issued to pay for services provided by a consultant. The services provided by the consultant directly resulted in securing a material new distribution channel for the Company’s products. The consultant is not a related party of the Company.

Following these changes, the issued capital of the Company comprises 165,276,445 fully paid ordinary shares, 1,312,000 retention rights and 14,000,000 options.

Notifications to ASX confirming the issue of retention rights (Appendix 3G) and application for quotation of the fully paid ordinary shares (Appendix 2A) have been lodged with ASX.
