Long Term Incentive Plan and grant of Performance Rights

Spacetalk Ltd. (ASX:SPA) (“Spacetalk” or “Company”), developer of innovative technologies which keep families safe and connected, advises that further to the approval obtained from shareholders at the 2020 Annual General Meeting, a total of 6,000,000 performance rights under the Company’s Long Term Incentive Plan ( LTIP ) have been issued. The performance rights have been issued to the Company’s CEO and Managing Director Mark Fortunatow and non-executive directors, Martin Pretty and Dr. Brandon Gien (or their respective affiliates).

Details of the vesting conditions, which have been designed to ensure they are beneficial to the Company and shareholders as a whole, and the exercise and settlement of the performance rights are set out in the 2020 Notice of Annual General Meeting ( Notice of Meeting ).

As noted in the Notice of Meeting, the LTIP under which the performance rights have been issued forms part of the Company’s remuneration structure. Such plans are a common form of remuneration for listed entities and are well understood by the market. Their prevalence stems from a recognition of their value in focusing employees on desired future outcomes and objectives and rewarding performance; as well as their versatility and flexibility in relation to mix, amounts, and the ability to tailor vesting conditions to particular eligible participants and/or circumstances. These considerations informed the adoption of the LTIP, which is designed to align the interests of eligible participants to shareholders of the Company and to assist the Company in the reward, retention and motivation of eligible participants.

For the reasons noted, performance rights are regarded by the Board as being an appropriate form of incentive security. Accordingly, the Company will cease to issue options as an incentive security going forward.

A notification to ASX confirming the issue of performance rights (Appendix 3G) has been lodged with ASX.
