Spacetalk Ltd (ASX: SPA) (Company) gives this notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) (Act).

On 13 November 2025, the Company issued 30,566,506 fully paid ordinary shares (Shares) comprised of:

11,682,050 Shares at an issue price of $0.11 per Share under a Placement announced on 15 September 2025
18,181,818 Shares upon the conversion of 2,000,000 Converting Notes expiring on 31 July 2026, and
702,638 Shares in consideration for interest on Converting Notes expiring on 31 July 2026.
The Company states that:
1. the Shares were issued without disclosure under Part 6D.2 of the Act.
2. as at the date of this notice:
  - a. the Company has complied with the provisions of Chapter 2M of the Act as they apply to the Company;
  - b. the Company has complied with sections 674 and 674A of the Act; and
3. there is no information that is 'excluded information' within the meaning of sections 708A(7) and 708A(8) of the Act.
