Spacetalk opens new sales channel for mPERS devices through Talius Group partnership supplementary announcement

Additional information on Spacetalk’s recently signed distribution agreement with Talius Group Limited (ASX:TAL) highlights the ongoing delivery of the Company’s stated strategy in the seniors safety sector.

Distribution Agreement highlights

• There are no conditions precedent to the agreement taking effect.

• The term of the agreement is open-ended.

• The agreement may be terminated by:

  • Either Party giving 12 weeks’ notice in writing to the other Party; or

  • Either Party breaching a material term of this Agreement and that is not remedied within 10 Business Days of the Defaulting Party being notified of the breach by the non-defaulting Party; or

  • the Defaulting Party goes bankrupt, insolvent or is otherwise unable to pay its debts as they fall due.

• Talius will buy Life mPERS devices up front at a wholesale price and resell these to their customers.

• Spacetalk will receive recurring Spacetalk Mobile and App fee revenue from each sale.

• • Quarterly review by the parties to review performance and exclusivity arrangements under the agreement.

Spacetalk Limited (ASX:SPA) (“Spacetalk” or “the Company”) is pleased to provide further information on the Distributor Agreement it recently signed with Talius Group Limited (ASX:TAL). Spacetalk retracts its projection as contained within the ASX Announcement dated 30 September 2024 that “Spacetalk projects its partnership with Talius Group will lead to the sale of thousands of devices each year and an equal number of new Spacetalk App

and Spacetalk Mobile subscribers” and also that “it is anticipated that it will contribute significantly to Spacetalk's goal of achieving $20-25 million in Annual Recurring Revenue (ARR) in 2026.”

Spacetalk reiterates that the Company is not able to quantify the financial impact of the collaboration agreement with Talius at this time.
